Terms of Service

1. Agreement and operator

These Terms of Service ("Terms") are a binding agreement between you and W3MediaLabs, LLC ("W3MediaLabs," "we," "us," or "our") governing your access to The Note Spot, its websites, applications, communications, and related services (collectively, the "Service"). By creating an account, accepting these Terms, or using the Service, you agree to these Terms and acknowledge the Privacy Policy. If you do not agree, do not use the Service.

The Service is intended for users in the United States. You may not use it where doing so would violate applicable law.

2. Eligibility and minors

You must be at least 13 years old to use the Service. Users below the age of majority where they live represent that a parent or legal guardian has reviewed and agreed to these Terms. Any future paid purchase for a user under 18 must be authorized by an adult legally able to make that purchase.

We may suspend an account and delete associated personal information if we reasonably determine that its user is under 13. Do not misrepresent your age or create an account for a person who is ineligible.

3. Accounts and security

Accounts are for one person and may not be sold, transferred, shared as a login, or used to impersonate another person. You must provide accurate information, maintain control of your email address and credentials, and promptly notify support@thenotespot.com of suspected unauthorized access. You are responsible for activity performed through your account to the extent permitted by law.

Connections, invitations, email verification, magic links, recovery links, public links, and connection codes do not transfer account ownership. We may rate-limit, reject, revoke, or investigate credentials and requests to protect users and the Service.

4. Your content and permissions

You retain ownership of original notes, snippets, terms, definitions, comments, messages, attachments, tags, resources, feedback, and other material you submit ("User Content"). You grant W3MediaLabs a non-exclusive, worldwide, royalty-free license to host, copy, process, transmit, render, back up, moderate, and otherwise use User Content only as reasonably necessary to provide, secure, maintain, support, and improve the Service, comply with law, and enforce these Terms.

You represent that you have the rights needed to submit User Content and grant these permissions. You are responsible for its accuracy, legality, and suitability and for preserving independent copies of important material.

5. Connections, collaboration, and sharing

A connection makes two users eligible to communicate and receive explicit sharing offers. It does not grant access to either person's notes. A note owner must separately grant View and comment or Edit access to each connection. The owner may revoke access, transfer ownership through the Service, or create a public link subject to the displayed controls.

People with Edit access may change shared material. Comments and edits may be visible to other authorized users and may be retained in revisions, safety evidence, notifications, exports, or backups. Public links can be forwarded by recipients; treat every active public link as accessible to anyone who obtains it. You are responsible for selecting recipients and permissions carefully.

6. Messages, comments, and moderation

The Service supports direct and group messages, comments, reports, notifications, and support communications. Do not assume communications are confidential from their recipients. Authorized participants may copy or disclose what they receive.

Users may report content. Reported content may be obscured, preserved as evidence, reviewed, restored, or removed. Note owners may review reports within their notes, while W3MediaLabs may review limited information when needed for platform safety, support, legal compliance, or enforcement. We are not required to monitor every communication and cannot guarantee that objectionable material will be identified or removed immediately.

7. Acceptable use

You may not use the Service to violate law; infringe intellectual property or privacy rights; harass, threaten, exploit, deceive, or impersonate others; distribute malware or unlawful material; expose another person's sensitive information; send spam; evade access controls, blocks, rate limits, or moderation; scrape or probe accounts; interfere with availability; reverse engineer protected portions except where law permits; automate abusive activity; or help another person do any of these things.

You may not upload content that you lack permission to use. You may not use public links, invitations, connection codes, messages, or feedback channels for unsolicited promotion or harassment. We may investigate, limit, suspend, remove, preserve, or disclose activity when reasonably necessary to protect the Service, users, W3MediaLabs, or others.

8. Educational and informational limitations

Notes, flashcards, study results, generated exports, shared content, links, and other outputs are organizational and educational aids. They are not professional, legal, medical, financial, safety, or academic advice. We do not guarantee correctness, completeness, learning outcomes, grades, exam performance, fitness for a particular curriculum, or acceptance by any school, employer, or institution. Verify important information independently.

9. Third-party services and links

The Service may interact with hosting, email, security, payment, link, or other third-party services. External resources are controlled by their providers. We do not endorse or control them and are not responsible for their availability, content, policies, security, or transactions. Your use of third-party services may be governed by separate terms.

10. Service operation and changes

We may add, change, suspend, restrict, or discontinue features; impose reasonable limits; perform maintenance; or modify compatibility. We do not promise uninterrupted availability, error-free operation, permanent storage, successful delivery of every email or notification, or recovery of every item. Features identified as preview, beta, experimental, or future may change or never launch.

You should maintain independent copies of important User Content. Backups are maintained for operational recovery and are not a personal archival service. Restoration may be incomplete or unavailable.

11. Plans, payments, cancellation, and refunds

The Service may offer free and paid plans in the future. Before charging you, we will present the price, billing interval, included features, renewal terms, and available cancellation method. Paid subscriptions may renew automatically until cancelled. You authorize applicable recurring charges, taxes, and disclosed fees using the selected payment method.

Cancellation takes effect as disclosed at purchase and does not automatically delete your account or content. Except where required by law or expressly stated at purchase, fees are non-refundable, payment obligations are non-cancelable after the applicable charge, and we do not provide prorated refunds or credits for partial periods, unused features, downgrade, suspension for violation, or account inactivity. Payment processors may apply their own terms. Failed or disputed payments may result in restricted or suspended paid features.

12. W3MediaLabs property and feedback

The Service, including its software, visual design, logos, workflows, documentation, generalized systems, and non-user content, is owned by W3MediaLabs or its licensors and protected by law. These Terms give you a limited, revocable, non-transferable right to use the Service for its intended purpose.

If you submit ideas, suggestions, or feedback, you grant W3MediaLabs a perpetual, irrevocable, worldwide, transferable, sublicensable, royalty-free right to use them without restriction or compensation, without transferring ownership of your separate User Content.

13. Suspension, departure, and termination

You may stop using the Service and use available account-departure controls. Depending on your selections and existing shared work, the Service may delete owned data or require ownership transfers before access ends. Removing a connection or note grant does not erase copies already received by others, retained safety evidence, completed transfers, or lawful records.

We may restrict, suspend, or terminate access if we reasonably believe you violated these Terms, created risk, failed to pay, infringed rights, or used the Service unlawfully or abusively. Termination is not automatically an instruction to erase all information. Provisions that by their nature should survive will survive, including ownership, licenses, payment obligations, disclaimers, liability limits, indemnity, disputes, and evidence retention.

14. Disclaimers

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." W3MEDIALABS DISCLAIMS ALL EXPRESS, IMPLIED, STATUTORY, AND OTHER WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, SECURITY, QUIET ENJOYMENT, AND WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

WE DO NOT WARRANT THAT CONTENT, CALCULATIONS, FLASHCARDS, RESULTS, EXPORTS, LINKS, COMMUNICATIONS, COLLABORATION, OR THIRD-PARTY SERVICES WILL BE ACCURATE, COMPLETE, RELIABLE, SECURE, AVAILABLE, OR SUITABLE FOR YOUR PURPOSE.

15. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, W3MEDIALABS, LLC AND ITS OWNERS, EMPLOYEES, CONTRACTORS, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOST PROFITS, REVENUE, OPPORTUNITIES, DATA, CONTENT, GOODWILL, OR USE; BUSINESS INTERRUPTION; SUBSTITUTE SERVICES; OR DEVICE, PROPERTY, OR EDUCATIONAL LOSS ARISING FROM OR RELATED TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY.

TO THE FULLEST EXTENT PERMITTED BY LAW, THEIR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE TOTAL AMOUNT YOU PAID DIRECTLY TO W3MEDIALABS FOR THE SERVICE DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. FOR A FREE USER, THAT CAP IS ZERO DOLLARS. THESE LIMITS DO NOT EXCLUDE LIABILITY THAT CANNOT LAWFULLY BE EXCLUDED.

16. Indemnification

To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless W3MediaLabs, LLC and its owners, employees, contractors, affiliates, licensors, and service providers from claims, losses, liabilities, damages, judgments, costs, and reasonable attorneys' fees arising from your User Content, conduct, misuse of the Service, violation of these Terms or law, or infringement of another person's rights.

17. Governing law, venue, and individual claims

South Carolina law governs these Terms without regard to conflict-of-law rules. Before filing a formal claim, you agree to contact legal@thenotespot.com and allow a reasonable opportunity for informal resolution. Unless applicable law requires otherwise, unresolved claims must be brought exclusively in state or federal courts located in or serving Richland County, South Carolina, and you consent to personal jurisdiction and venue there.

To the fullest extent permitted by law, claims must be brought individually and not as a plaintiff or class member in a class, collective, representative, private-attorney-general, or similar proceeding.

18. General terms

These Terms and incorporated policies are the entire agreement about the Service. If a provision is unenforceable, it will be enforced to the maximum lawful extent and the remainder will continue. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent; we may assign them in connection with a reorganization, financing, merger, acquisition, asset transfer, or by operation of law.

We may update these Terms. Material changes may be presented in the Service, by email, or both, and may require new acceptance before continued use. Notices to you may be delivered to your account email or inside the Service.
